Terms of Service

1. Eligibility

You must be at least 18 years of age to use the Service. By using the Service, you represent and warrant that:

• You are at least 18 years old
• You have the legal capacity to enter into a binding agreement
• You are not prohibited from using the Service under any applicable law
• You will use the Service only for lawful purposes and in accordance with these Terms

If you are using the Service on behalf of an organization (such as through a group membership), you represent that you have the authority to bind that organization to these Terms.

2. Account Registration

To access certain features of the Service, you must create an account. When creating an account, you agree to:

• Provide accurate, current, and complete information
• Maintain and promptly update your account information
• Maintain the security of your account by protecting access to your email
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

We use passwordless authentication via email magic links. You are responsible for maintaining the security of the email account associated with your Spiritual Side of Leadership account.

3. Membership and Subscriptions

Membership Plans

We offer individual and group membership plans with different billing cycles (monthly and annual). Current pricing and plan details are available on our Membership page. Pricing is subject to change with notice to existing subscribers.

Automatic Renewal

All subscriptions automatically renew at the end of each billing period (monthly or annually) unless you cancel before the renewal date. You will be charged the then-current subscription rate at each renewal.

Cancellation

You may cancel your subscription at any time through your account settings or by contacting us. Upon cancellation:

• Your subscription will remain active until the end of your current billing period
• You will not receive a refund for the current billing period
• You will continue to have access to member features until your subscription ends
• Your account and user-generated content will be retained unless you request deletion

Group Memberships

Group memberships allow organizations to purchase multiple seats at discounted rates. The organization administrator is responsible for managing seat assignments. Group membership terms may include additional provisions provided at the time of purchase.

4. Payment Terms

All payments are processed securely through Stripe. By providing payment information, you represent that you are authorized to use the payment method and authorize us to charge it for your subscription and any applicable taxes.

• Billing: Subscriptions are billed in advance on a recurring basis (monthly or annually).
• Failed Payments: If a payment fails, we may attempt to charge your payment method again. If payment cannot be processed, your account may be suspended until payment is received.
• Taxes: You are responsible for any applicable taxes. Prices may or may not include taxes depending on your jurisdiction.
• Refunds: We generally do not provide refunds for subscription payments. However, if you believe you are entitled to a refund due to billing errors or exceptional circumstances, please contact us.
• Price Changes: We reserve the right to change our pricing. Existing subscribers will be notified of price changes at least 30 days before the new price takes effect.

5. User-Generated Content

Your Content

The Service allows you to create, store, and share content including journal entries, prayer requests, goals, decisions, ideas, and feedback ("User Content"). You retain ownership of your User Content.

License to Us

By creating User Content, you grant us a limited, non-exclusive license to store, process, and display your content solely for the purpose of operating and providing the Service to you. We will not share your private content (such as journal entries and prayer requests) publicly or with other users without your explicit consent.

Public Submissions

Some features allow you to submit content that may be visible to others (such as ideas in the Ideas Portal). For such public submissions, you grant us a broader license to display, distribute, and promote this content within the Service.

Content Responsibilities

You are solely responsible for your User Content. You represent and warrant that:

• You own or have the rights to use and share your content
• Your content does not violate any third-party rights
• Your content complies with these Terms and all applicable laws

6. AI Leadership Coach

Our Service includes an AI-powered Leadership Coach that provides guidance and insights based on biblical wisdom and leadership principles. By using the AI Coach, you acknowledge and agree:

• Not Professional Advice: The AI Coach provides general information and spiritual guidance only. It is NOT a substitute for professional counseling, therapy, legal advice, financial advice, medical advice, or any other professional service.
• No Professional Relationship: Using the AI Coach does not create any professional relationship (counseling, legal, medical, or otherwise) between you and Spiritual Side of Leadership.
• AI Limitations: The AI Coach uses artificial intelligence and may produce inaccurate, incomplete, or inappropriate responses. You should independently verify any information provided.
• Seek Professional Help: If you are experiencing a mental health crisis, physical health emergency, or any situation requiring professional intervention, please contact appropriate professionals or emergency services immediately.
• Data Processing: Your conversations with the AI Coach are processed by third-party AI services (Google Gemini) and may be logged for service improvement. See our Privacy Policy for details.

7. Acceptable Use

You agree not to use the Service to:

• Violate any applicable law, regulation, or these Terms
• Infringe the intellectual property or privacy rights of others
• Transmit harmful code, viruses, or malicious software
• Attempt to gain unauthorized access to any part of the Service
• Interfere with or disrupt the Service or servers connected to the Service
• Use automated means (bots, scrapers, etc.) to access or collect data from the Service without our permission
• Impersonate any person or entity or misrepresent your affiliation
• Harass, threaten, or harm other users
• Post content that is defamatory, obscene, hateful, or discriminatory
• Use the Service for any commercial purpose without our consent
• Share your account credentials or allow others to access your account
• Attempt to manipulate or abuse the AI Coach through prompt injection or similar techniques

We reserve the right to investigate and take appropriate action against anyone who violates these provisions, including terminating their account and reporting to law enforcement.

8. Intellectual Property

Our Content

The Service and its original content (excluding User Content), features, and functionality are owned by Spiritual Side of Leadership and are protected by copyright, trademark, and other intellectual property laws. This includes but is not limited to:

• The Superhuman Framework and related methodology
• Daily Drip devotional content
• Beyond Your Default podcast content
• Articles, guides, and downloadable resources
• Website design, logos, and branding
• Software, code, and technical implementations

Limited License

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Service for your personal, non-commercial use. This license does not include the right to:

• Modify, copy, or create derivative works of our content
• Distribute, publicly display, or publicly perform our content
• Use our content for any commercial purpose
• Remove any copyright or proprietary notices

Feedback

If you provide feedback, suggestions, or ideas about the Service, you grant us the right to use such feedback without restriction or compensation to you.

The Service integrates with or relies on third-party services including:

• Stripe for payment processing
• Google Gemini for AI Coach functionality and image generation
• Google Analytics for website analytics
• Resend for email delivery

Your use of these third-party services is subject to their respective terms and privacy policies. We are not responsible for the practices or content of third-party services.

The Service may contain links to third-party websites. We do not endorse or assume responsibility for any third-party websites, content, or services.

You agree to indemnify, defend, and hold harmless Spiritual Side of Leadership and its officers, directors, employees, agents, and affiliates from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising out of or related to:

• Your use of the Service
• Your User Content
• Your violation of these Terms
• Your violation of any rights of another person or entity
• Your violation of any applicable law or regulation

Termination by You

You may terminate your account at any time by canceling your subscription and contacting us to request account deletion. Upon termination, your right to use the Service will immediately cease.

Termination by Us

We may suspend or terminate your account and access to the Service at any time, with or without cause, with or without notice. Reasons for termination may include:

• Violation of these Terms
• Conduct that we believe is harmful to other users or the Service
• Extended periods of inactivity
• Request by law enforcement or government agencies
• Discontinuation of the Service (in whole or in part)

Effect of Termination

Upon termination, provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.

14. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of North Carolina, United States, without regard to its conflict of law provisions. You agree to submit to the personal and exclusive jurisdiction of the courts located in Mecklenburg County, North Carolina.

15. Dispute Resolution

Informal Resolution

Before filing any legal claim, you agree to try to resolve any dispute informally by contacting us. We will try to resolve the dispute informally by contacting you via email. If a dispute is not resolved within 60 days of submission, either party may proceed with formal proceedings.

Arbitration Agreement

You and Spiritual Side of Leadership agree that any dispute, claim, or controversy arising out of or relating to these Terms or the Service shall be resolved by binding arbitration, rather than in court, except that either party may bring claims in small claims court if eligible.

The arbitration shall be conducted by a neutral arbitrator in accordance with the rules of the American Arbitration Association (AAA). The arbitration shall be conducted in Charlotte, North Carolina, unless you and we agree otherwise.

Class Action Waiver

You agree that any arbitration or proceeding shall be limited to the dispute between us individually. To the fullest extent permitted by law: (a) no arbitration shall be joined with any other proceeding; (b) there is no right or authority for any dispute to be arbitrated on a class-action basis; and (c) there is no right or authority for any dispute to be brought in a purported representative capacity on behalf of the general public or any other persons.

16. Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will:

• Update the "Last updated" date at the top of these Terms
• Notify you via email or through the Service
• For material changes affecting your rights, provide at least 30 days notice before the changes take effect

Your continued use of the Service after the effective date of any changes constitutes your acceptance of the modified Terms. If you do not agree to the modified Terms, you must stop using the Service and cancel your subscription.

Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and Spiritual Side of Leadership regarding the Service and supersede all prior agreements.

Severability

If any provision of these Terms is found to be unenforceable, the remaining provisions will continue in full force and effect.

Waiver

Our failure to enforce any right or provision of these Terms will not be considered a waiver of that right or provision.

Assignment

You may not assign or transfer these Terms or your rights under them without our prior written consent. We may assign our rights and obligations under these Terms without restriction.
